TERMS AND CONDITIONS OF USE FOR THE APPLICATIONS NAMED YAZTAMX AND YAZTAPRO
SOFTWARE LICENSE AND SERVICES AGREEMENT entered into between VAST TECH VENTURES INC. (hereinafter referred to as “VAST”), and any individual or legal entity that accepts these Terms and Conditions (hereinafter referred to as “Application User(s)”), regarding the use of the applications named YaztaMX and YaztaPro, subject to the following statements and clauses.
PLEASE READ THESE CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.
1. Legal Relationship
These Terms and Conditions (hereinafter, “T&C”) govern the use that you, as a User of the YaztaMX and YaztaPro Applications, make as an individual and/or legal entity, from anywhere in the world, in connection with the YaztaMX and YaztaPro Applications and with any service, product, website, or content made available to you by VAST.
VAST Tech Ventures Inc. is a corporation organized under the laws of the State of Delaware, U.S.A. (registered address: 16192 Coastal Highway), and duly registered in Mexico under the laws of the United Mexican States with tax registration before the Servicio de Administración Tributaria (SAT).
Because the YaztaMX and YaztaPro Applications operate within Mexican territory, Users irrevocably agree that any use of the Applications shall be subject to the federal laws of Mexico and to the jurisdiction of the competent courts located in Mexico City, expressly waiving any other jurisdiction that might otherwise correspond to them by reason of domicile, nationality, or any other cause.
Use of the Applications constitutes the User’s express consent to be bound by these T&C and Yazta’s Privacy Policy. If you do not accept them, you must refrain from using the Applications.
VAST may modify these T&C at any time. Such modifications shall be effective upon their publication within the Applications or on the official website (www.yaztamx.com). Continued use of the Applications after such publication constitutes your acceptance of the updated version.
1.1 Definitions
For purposes of these T&C:
- Offer means a proposed service arrangement created within the Applications that includes service type, date, duration and proposed rate, pending acceptance and payment.
- Booking means the service arrangement formed only when (i) the Pro accepts the Client’s Offer and (ii) the Client pays the applicable Platform Fee within the YaztaMX Application. Until both conditions are met, the interaction remains an Offer.
- Platform Fee means the fee charged by Yazta to the Client within the YaztaMX Application to unlock contact information and activate verification, safety and support features associated with a Booking
2. Yazta’s Role
Yazta is a digital marketplace and technology platform that enables connections between independent service providers (hereinafter, “Pros”) and Clients seeking domestic or similar services (cleaning, caregiving, cooking, babysitting, maintenance, etc.).
Yazta acts solely as a technology intermediary. VAST does not employ, supervise, or control Pros, nor guarantee, endorse, or assume responsibility for their behavior, performance, or the results of their services.
All services contracted through Yazta are direct agreements between Clients and Pros. VAST is not a party to those agreements and shall have no liability arising therefrom. The relationship between Users is strictly civil and independent in nature.
Yazta does not provide employment, labor, agency, or brokerage services of any kind, nor does it act as an employer, joint employer, or contractor. Any Pro registered on YaztaPro acts as an independent contractor, free to determine pricing, hours, and service conditions, within the limits of applicable law and Yazta’s Community Guidelines.
3. Software License and Intellectual Property
VAST grants Users a limited, personal, revocable, non-exclusive, non-transferable license to install and use the YaztaMX and YaztaPro Applications solely for their intended purpose: to connect Clients and Pros and facilitate service agreements between them.
This license does not convey ownership rights over the Applications, trademarks, or any intellectual property belonging to VAST. Users are expressly prohibited from copying, reproducing, decompiling, reverse-engineering, modifying, sublicensing, reselling, or creating derivative works from the Applications or their code.
Any misuse, alteration, or infringement of Yazta’s intellectual property or that of its partners will give rise to legal consequences under civil and criminal law.
4. Platform Services and Features
Through the YaztaMX and YaztaPro Applications, Users may access digital tools that include but are not limited to:
- Verified Pro Profiles and the Yazta Badge System
- Offer creation, Pro acceptance, and Client payment of the Platform Fee, resulting in a Booking
- Recurring Service scheduling options
- In-app Chat for direct and secure communication
- Evaluation and review mechanisms for both Clients and Pros
- Reporting and safety-verification features such as Yazta’s Security Code
- Optional paid plans such as the Gold Plan, providing premium discovery filters, satisfaction guarantee, and advanced contact options
VAST may modify, suspend, or discontinue any feature or functionality of the Applications at its discretion, with prior notice through the Applications or website.
5. User Accounts, Eligibility, and Verification
To use the Applications, Users must create an account, providing truthful, accurate, current, and complete information, including their name, address, mobile number, and email. Users are responsible for keeping this information up to date.
Users must be of legal age according to Mexican law (18 years). Minors may not use YaztaMX or YaztaPro.
Each User may hold only one account, unless otherwise authorized in writing by VAST. Users are responsible for all activities occurring under their accounts and for maintaining confidentiality of login credentials.
Yazta conducts identity verification of Pros through official ID, CURP or RFC, proof of address, and, when applicable, background checks. Only verified Pros appear in Yazta’s search results. VAST may request additional verification or supporting documents at any time, and reserves the right to deactivate, suspend, or terminate accounts that fail verification or breach these T&C.
All personal data obtained during verification are processed in accordance with Yazta’s Privacy Policy and applicable Mexican data-protection legislation.
6. Yazta Badge System
To promote transparency and trust, Yazta assigns badges to Pros based on verified credentials, experience, and performance:
- Verified Pro: Identity, address, and legal status verified by Yazta.
- Recommended Pro: Verified + documented employment history or recommendation letters.
- Expert Pro: Verified + Recommended + at least 10 completed services, or 3+ months of live-in work, or three positive Client reviews.
- Super Pro: Verified + all previous badges + average rating above 4.5 stars.
- Certified Nurse: Verified nursing or healthcare credential issued by an accredited institution.
Yazta may revoke, suspend, or downgrade any badge if supporting documentation becomes invalid or service quality deteriorates.
7. User Conduct and Prohibited Activities
All Users agree to:
- Use the Applications solely for lawful purposes and in accordance with these T&C.
- Communicate exclusively through Yazta’s in-app Chat and Offer system.
- Refrain from attempting to circumvent Yazta’s fees or engage in off-platform transactions.
- Respect the dignity, privacy, and rights of all Users.
- Not post, upload, or transmit content that is false, defamatory, discriminatory, or illegal.
- Comply with Yazta’s Community Guidelines at all times.
Any violation may result in immediate suspension or permanent termination of the User’s account, without prejudice to VAST’s right to seek legal remedies.
8. Payment Mechanism and Platform Fee
Yazta does not manage or process payments between Clients and Pros.
The amount of compensation for services rendered is to be agreed directly between the Client and the Pro within the Yazta Applications. Only the amount and conditions agreed within the YaztaMX/YaztaPro system are considered valid and enforceable under these T&C. Any negotiations or payments made outside the Applications are at the Users’ sole risk and are not covered by Yazta’s support or protection.
Payments for services shall be made directly by the Client to the Pro once the service is completed, in cash or electronically, as mutually agreed.
Platform Fee: When a Client intends to confirm an Offer, Yazta charges a Platform Fee payable within the YaztaMX App. A Booking is formed only after the Pro has accepted the Offer and the Client has paid the Platform Fee. This fee unlocks the Pro’s full contact information, supports Yazta’s verification, safety, and customer-support features, and may vary according to Yazta’s current pricing schedule published in the App or on www.yaztamx.com.
Pros are not charged any commission by Yazta for receiving offers or completing services.
8.1 Invoicing and Receipts
For transactions made through the YaztaMX Application, involving the platform fee or the purchase of premium features or plans (such as the Gold Plan), Users may request an invoice in accordance with the applicable policies of the Apple App Store or Google Play Store, depending on the operating system used (iOS or Android) to complete the purchase.
Invoicing and tax documentation are managed directly through the respective App Store’s payment system, in accordance with their own terms and conditions. Yazta does not issue separate invoices for purchases processed through Apple or Google.
Users who require proof of payment or wish to download an invoice must follow the standard procedures available in their App Store account (for example, via “Purchase History” in Apple ID settings or “Payments and Subscriptions” in Google Play).
9. Bookings, Cancellations, and Satisfaction Guarantee
Once a Pro accepts an Offer and the Client pays the Platform Fee within the YaztaMX Application, the interaction becomes a Booking, visible in both parties’ accounts, specifying the service type, date, duration, and agreed rate.
Cancellations: Either party may cancel a confirmed Booking through the Applications. Notifications are automatically sent to the counterpart. Any rescheduling must be coordinated via Yazta app.
Satisfaction Guarantee (Gold Plan or Standalone Purchase):
Clients who are either subscribed to the Gold Plan or have purchased the Satisfaction Guarantee as a standalone feature may, upon Yazta’s review and approval, receive up to two additional Bookings at no cost if:
• The Pro fails to appear for the service (“No Show”); or
• The service provided by the Pro was unsatisfactory based on reasonable evidence.
Refund and Credit Mechanism:
If a Client has an active Gold Plan or has purchased the Satisfaction Guarantee and submits a valid claim under this policy, Yazta’s team will review the request within seventy-two (72) business hours from the time of submission. In cases where the claim is approved, Yazta will issue two replacement Booking credits that may be used to make new Bookings without paying the Yazta Platform Fee. These credits are non-transferable, have no cash value, and cannot be used to purchase premium features or the Gold Plan.
Yazta reserves the right to deny claims under the Guarantee in cases of misuse, false reporting, or breach of these T&C.
10. Evaluations and Feedback
After each completed service, both Clients and Pros are encouraged and may be required to submit an Evaluation through the Applications.
Ratings are based on a five-star scale (1 and 2 stars = negative; 3–5 stars = positive). Users may also leave written comments regarding service quality.
Reviews must focus exclusively on the service performed and must not contain personal attacks, discriminatory language, or private information. Each service may receive only one review per User and must be posted within 30 days of completion.
Yazta may moderate, edit, or remove reviews that violate these standards or applicable law. All feedback becomes property of VAST for the purpose of platform improvement and trust-system maintenance.
11. Security and Safety
Yazta has implemented rigorous identity verification and background-check procedures for all Pros. Only verified Profiles appear in search results.
To further enhance safety, Yazta uses a Security Code system: at the start of each service, both Client and Pro must confirm that the codes displayed in their respective apps match, verifying that the correct Pro has arrived.
In case of emergency or imminent danger, Users must contact local authorities or emergency services immediately. Yazta’s support channel should be used only for non-urgent safety or conduct issues.
12. Support and Reporting
VAST provides customer support to Users during business days and hours established under the Mexican Federal Labor Law.
Users may reach Yazta’s Support Center via the “Help” or “Support” sections within the Applications to:
- Report technical issues or profile irregularities.
- Submit complaints or reports about other Users.
- Request assistance regarding Offers, Booking or feature usage.
Users may also report a Profile directly through the “Report this Profile” function. Each report will be reviewed, and Yazta will take the action it deems appropriate, which may include warnings, suspension, or permanent account removal.
13. Gold Plan and Premium Features
Yazta may offer optional paid plans that enhance functionality and user experience. The Gold Plan currently includes, among others:
- Chat with Pros before booking.
- Unlimited offers.
- Access to “Top Pros” section.
- Advanced filters by availability, skills, and badge level.
- Satisfaction Guarantee coverage.
Gold Plan prices, benefits, and terms are published within the Applications and may be updated by Yazta at any time. Users will be notified of material changes through the Applications or website. Failure to pay for premium features may result in suspension of those specific features without affecting the basic license to use Yazta.
14. Warranties and Limitation of Liability
Because VAST does not provide the services rendered by Pros, it cannot guarantee the quality, timeliness, reliability, or results of any service booked through Yazta.
The Applications and all related content are provided “as is” and “as available,” without any express, implied, or statutory warranty. To the maximum extent permitted by law, VAST disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Under no circumstances shall VAST, its subsidiaries, affiliates, partners, shareholders, officers, employees, or agents be liable for any indirect, incidental, consequential, punitive, or exemplary damages, or for loss of data, profit, goodwill, or other intangible losses arising from:
- The use or inability to use the Applications.
- Conduct of Pros or Clients.
- Unauthorized access to or alteration of transmissions or data.
- Any other matter relating to the Yazta platform.
Some jurisdictions do not allow exclusion of certain warranties; where prohibited, such exclusions shall apply only to the extent legally permitted.
15. Indemnification
You, as a User, agree to indemnify, defend, and hold harmless VAST, its affiliates, officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in any way connected with:
- Your access to or use of the Applications.
- Your breach of these T&C or of any law or regulation.
- Any dispute between you and another User (Client or Pro).
16. Data Protection and Privacy
All personal data collected through the YaztaMX and YaztaPro Applications are processed in accordance with Yazta’s Privacy Policy, available on www.yaztamx.com and within the Applications.
By using the Applications, you authorize Yazta to collect, store, and process your data for purposes of verification, communication, service facilitation, and fraud prevention, under applicable Mexican and international data-protection laws.
17. Termination and Suspension
VAST may suspend or terminate your access to the Applications, in whole or in part, immediately and without prior notice, if it reasonably believes that you have violated these T&C, engaged in fraudulent or illegal activity, or jeopardized the safety or integrity of the platform.
Upon termination, your license to use Yazta ceases immediately. You may request deletion of your account at any time under the Privacy Policy.
18. Governing Law and Jurisdiction
These T&C shall be governed by and interpreted in accordance with the federal laws of Mexico, excluding conflict-of-law principles.
Any controversy, claim, or dispute arising from or related to these T&C shall be submitted exclusively to the competent courts of Mexico City, which both parties expressly designate as having jurisdiction.
In case of discrepancy between the English and Spanish versions, the Spanish version shall prevail within Mexican territory.
19. Final Provisions
If any provision of these T&C is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver by VAST of any breach shall be deemed a waiver of any subsequent breach.
These T&C constitute the entire agreement between the parties regarding the use of the YaztaMX and YaztaPro Applications and supersede any prior agreements, understandings, or communications, whether oral or written.
